A Form 8-K document submitted to the U.S. Securities and Exchange Commission (SEC) shows that the Company reached and completed an asset sale transaction with R.J. Reynolds Vapor Company, a subsidiary of British American Tobacco (BAT), on April 16th. According to the agreement. Charlie’s sold to R.J. The transaction structure includes a fixed cash payment of 5 million US dollars and a one-time bet payment of up to 4.2 million US dollars, the latter of which will be determined based on the actual sales performance of the buyer within one year after the commercialization of the product. The agreement contains regular representations, warranties and compensation clauses. The asset purchase agreement is attached as an annex (Exhibit 10.1) to the 8-K document disclosed this time.

Disposable e-cigarettes are synthetic nicotine products

On the day of the transaction disclosure (April 17th). The share price of Charlie’s Holdings (stock code: CHUC) rose by 33.33% to close at $0.10, hitting a new high in nearly two months during the trading session. This significant increase reflects the market’s positive response to the transaction itself. Investors generally regard this sale as an important signal that the value of the company’s compliant assets has been externally recognized.

All the products for sale this time are synthetic nicotine categories that submitted a PMTA in 2022. It has not been disclosed yet whether they have obtained marketing authorization (MGO) from the FDA. For the acquirer R.J. Reynolds, this transaction can further strengthen its position in the compliant vape category in the US market. For Charlie’s, this move is expected to improve financial liquidity and reflect the adjustment of its business strategy.

As the regulation of the new tobacco market in the United States becomes stricter. PMTA assets are becoming a key compliance resource that global tobacco companies are competing for. The industry expects that similar merger and acquisition transactions will continue to heat up.
